Statement and Recommendation from the European Corporate Governance Forum

The European Corporate Governance Forum adopted a statement on risk management and internal control. The statement considers that there is no need to impose an EU obligation on boards to certify the effectiveness of internal controls as required in the US by the Sarbanes-Oxley Act.
The Forum also recommends the introduction of a rule obliging financial intermediaries to facilitate the exercise of voting rights in general meetings of listed companies by or on behalf of their clients.
